Meredith came to see me along with the CTO Marc Berte. Was there consumer demand? Did anybody hold patents that would prevent us from using this technology? I seldom hire patent attorneys during due diligence but this was too important. No brainer. We hired OSHA regulatory lawyers.

Our CTO, Vladamir, the head of our engineering and core development team, went and formed his own garage R&D company. David Seimer of Seimer and Associates is not an angel, but a boutique venture capitalist and technology investor, and he and Eric Manlunas had shared previous investments.

As CTO, it was my job to solve this problem. Whatever the biggest, most challenging, most demanding, most important job we had at L90, I always turned to Tim. This was one of the largest, most demanding IT infrastructures ever built, and Tim conquered it; a guy, who less than 2 years prior, was hired to be our recruiter.

Ideas are not intellectual property, until they have been converted into patents, trade secrets, trademarks, or copyrights. Providing the major funding source for an early-stage startup is a totally different dimension, but it usually trumps all the items above in demanding some equity. Who will be the CEO, CFO, and CTO?
