Redpoint Ventures is one of the venture capital firms which has straddled both Northern California and Southern California, with offices in both locations. It would be interesting to hear about where your interests are nowdays, there was a rumor Redpoint had backed off activity here lately. People can come in and have a coffee.

In the bay area it’s quite common for the entrepreneurs starting a company to be developers or technologists who can build the first versions of their products. When he had the idea for his company, he didn’t write a long business plan or try to raise money to hire an agency to build a website for him.

Clearly a startup should consult its lawyer before filing or not filing.But the attorneys I relied on to write this piece told me that they’ve done lots of Section 4(2) deals in the past, and would recommend it to clients who had relatively simple financing agreements (not tranched-out, not too many investors, etc.) YOu should check it out.
