Marc Andreessen kicked off another great debate on Twitter last night , one that I’ve been talking about incessantly in private circles for the past 2-3 years – what actually IS the definition of a seed vs. A-round. This is something I think entrepreneurs don’t totally understand and it’s worthwhile they do.

These tensions seep out in some angels or seed funds publicly or semi-privately deriding later-stage VCs for their “bad” behavior. Or your A-round investor who wrote a $5 million for 25% of your company may not be well positioned to write another $5 million (25%) of a $20 million round.

Well, a down round is even more complicated than having no demand for your investment round. If we count seed funds and large angels maybe that number goes up by 2x? I always tell entrepreneurs, “ Clean Your Own S**t Up First. ” (before fund raising). And what’s worse than being under-subscribed?

I’d like to explain as best I can my opinion on what is going on because most of what I hear from entrepreneurs is not only wrong but is reminiscent of what I heard in 1997-2000. ” “This will be great for VCs and bad for entrepreneurs.” Of course a group of 10 seed funds can’t fix the prices of a market.
