Structure development contracts appropriately or directing the in-house team appropriately. Review the code being built. This kind of advisor should be looking at the code on a fairly regular basis to make sure that the team is building the right thing. Is this person a CTO or a developer?

I had my sales teams telling me we needed certain features to be competitive. I had my dev team asking for us to work through new architectural components to improve performance. I had my operations team telling me it was too hard for them to run analytics unless we built in our new BI platform. What did he know?

Guard against a preclusion that would deny you from utilizing the IP developed during the course of executing the agreement. Craft terms which ensure you will not beholden to the BDC with respect to your ability to subsequently deploy and profit from jointly developed technology. I am not a lawyer and I never played one on TV.
