In the meantime, Groupon came along, and our media customers started to lose advertising. We learned that Groupon was taking their advertisers. In April of 2010, we put up Dealcurent.com, and we started indexing number one on Google for daily deals software. It will become an advertising product.

Clearly a startup should consult its lawyer before filing or not filing.But the attorneys I relied on to write this piece told me that they’ve done lots of Section 4(2) deals in the past, and would recommend it to clients who had relatively simple financing agreements (not tranched-out, not too many investors, etc.) Primarily targets SMBs.

I remember when I first saw one advertised in a magazine when I was on a flight from England to the US. I didn’t get my first one – believe it or not – until 2010. Most people I know who gave up their Blackberry’s just write shorter emails and respond to less. And all the Apps. Instagram and the like.
